Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the SkillTracer platform, including the web application and mobile application (collectively, the "Platform"), operated by TenuTech (Pty) Ltd ("TenuTech", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. If you are accessing the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Definitions
  • "Platform" refers to the SkillTracer web application, mobile application, and all related services, tools, and features provided by TenuTech.
  • "User" refers to any individual or entity that accesses or uses the Platform, including but not limited to administrators, managers, coaches, athletes, parents, and guardians.
  • "Content" refers to all data, text, images, documents, scores, assessments, reports, and other materials uploaded to, generated by, or displayed on the Platform.
  • "Services" refers to the functionality provided through the Platform, including skill tracking, performance assessment, analytics, AI-powered recommendations, and organisational management.
3. Eligibility and Account Registration

3.1 Eligibility

You must be at least eighteen (18) years of age to create an account independently. Users under the age of eighteen (18) may use the Platform only with the consent of a parent or legal guardian, who agrees to be bound by these Terms on their behalf.

3.2 Account Obligations

  • You must provide accurate, current, and complete information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify us immediately at support@skilltracer.com if you become aware of any unauthorised use of your account or any other breach of security.
  • TenuTech reserves the right to suspend or terminate accounts that contain false, misleading, or outdated information.
4. User Responsibilities

As a User of the Platform, you agree to:

  • Use the Platform only for its intended purpose and in compliance with all applicable laws and regulations.
  • Ensure that all information, data, and content you submit to the Platform is accurate, lawful, and does not infringe on the rights of any third party.
  • Maintain the security of your account credentials and accept responsibility for all activities conducted under your account.
  • Comply with your organisation's policies and any role-specific obligations within the Platform.
  • Report any bugs, vulnerabilities, or suspected security incidents to TenuTech promptly.
5. Acceptable Use Policy

You agree not to use the Platform to:

  • Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
  • Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or any systems or networks connected to the Platform.
  • Interfere with or disrupt the Platform's infrastructure, including introducing malware, viruses, or any other harmful code.
  • Use automated tools (bots, scrapers, crawlers) to access, extract, or index Platform data without our prior written consent.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
  • Use the Platform for any commercial purpose not expressly authorised by TenuTech, including reselling access or data.
  • Engage in any activity that could damage, disable, or impair the Platform or interfere with any other party's use of the Platform.

TenuTech reserves the right to investigate and take appropriate action against any User who violates this Acceptable Use Policy, including suspension or termination of access and referral to law enforcement authorities.

6. Intellectual Property

6.1 TenuTech's Intellectual Property

The Platform, including all software, code, design, graphics, logos, trademarks, algorithms, AI models, and documentation, is the exclusive property of TenuTech or its licensors and is protected by South African and international intellectual property laws. No licence or right is granted to you except for the limited right to access and use the Platform in accordance with these Terms.

6.2 User Content

You retain ownership of the content you upload to the Platform. By uploading content, you grant TenuTech a non-exclusive, royalty-free, worldwide licence to use, store, process, display, and reproduce such content solely for the purpose of providing and improving the Services. This licence terminates upon deletion of your content or account, except where retention is required by law.

6.3 Restrictions

  • You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any part thereof without TenuTech's prior written consent.
  • You may not use TenuTech's or SkillTracer's name, logo, or branding without prior written authorisation.
7. AI-Powered Features

The Platform may use artificial intelligence and machine learning technologies for analysis, scoring, and recommendations. You acknowledge and agree that:

  • AI-generated outputs are provided as decision-support tools and are not a substitute for professional judgement.
  • TenuTech does not guarantee the accuracy, completeness, or reliability of AI-generated outputs.
  • You are solely responsible for any decisions made based on AI-generated outputs.
  • TenuTech may use anonymised and aggregated data to train and improve AI models, provided such data cannot be used to identify individual users.
8. Service Availability and Modifications

TenuTech strives to provide uninterrupted access to the Platform but does not guarantee that the Platform will be available at all times. We reserve the right to:

  • Modify, update, or discontinue any feature or functionality of the Platform at any time, with or without prior notice.
  • Perform scheduled or emergency maintenance that may temporarily affect Platform availability.
  • Modify these Terms at any time. Material changes will be communicated through the Platform or by email. Continued use of the Platform following notification of changes constitutes acceptance of the updated Terms.
9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Platform is provided on an "as is" and "as available" basis. TenuTech makes no warranties, express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
  • TenuTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of business opportunities, or reputational damage, arising out of or in connection with your use of the Platform.
  • TenuTech's total aggregate liability for any claims arising out of or in connection with these Terms or the Platform shall not exceed the total fees paid by you (if any) to TenuTech in the twelve (12) months preceding the event giving rise to the claim.
  • TenuTech is not responsible for the content, accuracy, or reliability of any third-party services, integrations, or external websites linked from the Platform.
10. Indemnification

You agree to indemnify, defend, and hold harmless TenuTech, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or conduct on the Platform.
  • Your violation of these Terms or any applicable law or regulation.
  • Your infringement of any third party's rights, including intellectual property rights.
  • Any content you upload to or transmit through the Platform.
11. Suspension and Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at support@skilltracer.com or through the account settings in the Platform. Upon termination, your access to the Platform will cease, and your data will be handled in accordance with our Privacy Policy.

11.2 Termination by TenuTech

TenuTech reserves the right to suspend or terminate your access to the Platform, without prior notice, if:

  • You breach any provision of these Terms.
  • Your conduct poses a risk to the security, integrity, or reputation of the Platform or its users.
  • Required by law, regulation, or court order.
  • Your account has been inactive for a period exceeding twenty-four (24) months.

11.3 Effect of Termination

Upon termination, all rights and licences granted to you under these Terms shall immediately cease. Sections that by their nature should survive termination (including, without limitation, Sections 6, 9, 10, and 13) shall survive.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue formal legal remedies.

14. General Provisions
  • Entire agreement: These Terms, together with the Privacy Policy and Security Policy, constitute the entire agreement between you and TenuTech with respect to the Platform.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of TenuTech to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without TenuTech's prior written consent. TenuTech may assign its rights and obligations without restriction.
  • Force majeure: TenuTech shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, power outages, or internet disruptions.
